Level 1 - Absolute Beginner
Two very big movie companies are now one company. Paramount bought Warner Bros. Discovery. The news came on October 6.
The new company has a new name. The name is Skydance. A man named David Ellison is the boss.
The new company owns many famous things. It owns Harry Potter films. It owns Top Gun. It owns the news channel CNN. It also owns CBS and HBO Max.
The deal cost a lot of money. It cost about 111 billion dollars. Mr Ellison said it was a historic day.

Level 2 - Elementary
On Tuesday, October 6, Paramount completed its purchase of Warner Bros. Discovery. The price was $81 billion, or about $111 billion once the company's debt is included. The combined business will operate under the name Skydance.
David Ellison, the billionaire who controls Skydance, now leads the new company, with Ynon Kreiz as co-chief executive. "Today is a historic day, not just for Skydance but for our entire industry," Ellison said.
The merger brings together an extraordinary collection of brands. HBO Max, CNN, Paramount+, CBS and film franchises including Harry Potter, Top Gun and The Godfather now belong to a single owner.
The road to this moment was not smooth. Netflix agreed a deal with Warner in December 2025, but Paramount launched a competing hostile bid and finally won with an offer of $31 per share in late February. Thousands of Hollywood writers, actors and crew signed petitions against the merger.

Level 3 - Intermediate
Hollywood's balance of power shifted decisively on Tuesday when Paramount, controlled by David Ellison's Skydance, closed its $81 billion acquisition of Warner Bros. Discovery. Including assumed debt, the transaction values the combined enterprise at roughly $111 billion. The merged company will trade under the Skydance name, with Ellison at its head and Ynon Kreiz serving as co-chief executive. "Today is a historic day, not just for Skydance but for our entire industry," Ellison said.
The portfolio now gathered under one owner is remarkable in its breadth. HBO Max and Paramount+ become stablemates in streaming, CBS and CNN sit together in broadcast and cable news, and the film library spans Harry Potter, Top Gun and The Godfather. Few single owners in the history of the industry have controlled this much intellectual property at once.
Getting here required a bruising fight. Netflix struck an agreement with Warner in December 2025, only for Paramount to mount a hostile counter-bid. After a sequence of escalating offers, Paramount's $31-per-share proposal carried the day in late February. Financing came in part from Gulf sovereign money, with Saudi Arabia, Qatar and the United Arab Emirates contributing billions and the Federal Communications Commission permitting indirect equity stakes of up to 100 percent without voting rights.
Opposition was substantial and partly successful. Thousands of creatives signed petitions against the transaction, and legal challenges from twelve state attorneys general and the Writers Guild produced September settlements that commit the company to increased domestic film production and to funding for displaced workers. Separately, concern about political interference in news coverage led to the creation of a News Editorial Independence Board; Mark Thompson stays on as CNN's editor-in-chief.

- enterprise
- A business organisation considered as a whole.

- editorial independence
- The freedom of journalists to decide coverage without interference from owners.
Level 4 - Advanced
The closing of Paramount's acquisition of Warner Bros. Discovery on Tuesday completes the most consequential consolidation in American media since the industry's cable-era build-out, and it does so at a moment when the strategic logic of scale is itself contested. The headline consideration was $81 billion, rising to approximately $111 billion with assumed debt. The surviving entity takes the Skydance name, with David Ellison in command and Ynon Kreiz as co-chief executive. "Today is a historic day, not just for Skydance but for our entire industry," Ellison said, a formulation that is accurate in both the celebratory and the ominous register.
What Ellison has assembled is an unusually complete vertical and horizontal footprint: two subscription streaming platforms in HBO Max and Paramount+, a broadcast network in CBS, a cable news franchise in CNN, and a film library whose crown assets run from Harry Potter to Top Gun to The Godfather. The concentration of that much durable intellectual property in a single ownership structure is historically rare, and it inverts the conventional wisdom of the past three years, which held that the streaming wars had demonstrated the limits of library accumulation against the economics of recommendation and churn management.
The route to completion was unusually adversarial and leaves political residue. Netflix had secured an agreement with Warner in December 2025 before Paramount launched a hostile counter-bid that ultimately prevailed at $31 per share in late February. Capital came substantially from Gulf sovereign sources, with Saudi Arabia, Qatar and the United Arab Emirates committing billions and the Federal Communications Commission clearing indirect equity participation of up to 100 percent provided it carried no voting rights, a structural fiction that satisfies the letter of foreign-ownership rules while conceding much of their spirit. Those permissions will be litigated in public discourse for years.
The concessions extracted along the way define the company's constraints as much as its assets. Settlements reached in September with twelve state attorneys general and the Writers Guild bind Skydance to specific domestic production commitments and to funding for displaced workers, obligations that limit the cost synergies normally used to justify a transaction of this size. Most delicately, anxiety that the Ellison family's political alignments would colour CNN's coverage produced a negotiated News Editorial Independence Board, with Mark Thompson retained as editor-in-chief. Whether that governance structure proves to be a genuine firewall or a reputational instrument is now the central question facing the most powerful newsroom in the new group.
